These Terms of Service ("Terms") govern your use of GeckoPro and any related services provided by GeckoPro ("we", "our", "us"). By creating an account or using GeckoPro, you agree to these Terms.

GeckoPro is a trading name. A formal legal entity registration is in progress. These Terms will be updated with the registered company name, NZBN, and registered address once incorporation is complete.

If you do not agree to these Terms, do not use the service.

1. The Service

GeckoPro provides portfolio monitoring, market signal alerts, and performance tracking tools for retail investors.

GeckoPro:

  • monitors stock prices and generates technical signals based on publicly available market data
  • delivers alerts via push notification, email, and in-app notifications
  • calculates portfolio performance from data you provide via CSV import
  • supports holdings across NZX, ASX, and US markets (NYSE, NASDAQ, NYSE American)
GeckoPro is not a financial adviser, broker, or licensed investment service. GeckoPro is not registered as a financial advice provider under the Financial Markets Conduct Act 2013 (NZ) and does not hold an Australian Financial Services (AFS) licence under the Corporations Act 2001 (Cth). Nothing on GeckoPro constitutes personalised financial advice, a recommendation to buy or sell any security, financial product advice within the meaning of the Corporations Act 2001 (Cth), or a solicitation of any investment. All investment decisions are your own responsibility.

2. Eligibility

You must be at least 18 years old to use GeckoPro. By using the service, you represent that you meet this requirement.

GeckoPro is intended for use by residents of New Zealand, Australia, and other jurisdictions where access to such a service is lawful. It is your responsibility to ensure your use complies with local laws.

3. Accounts

Registration

You must provide a valid email address and create a password to use GeckoPro. You are responsible for keeping your login credentials secure and must not share your account with others.

Account Accuracy

You are responsible for the accuracy of data you import or enter into GeckoPro, including holdings, cost basis, and trade history.

Account Deletion

You may delete your account at any time by contacting support. We will remove your personal data within 30 days of account deletion, subject to the retention periods described in our Privacy Policy. We may suspend or terminate accounts that breach these Terms, engage in abuse, or remain inactive for an extended period.

4. Subscriptions and Billing

Free Plan

GeckoPro offers a free plan with limited features. No credit card is required for the free plan.

Paid Plans

Paid plans are billed monthly or annually in NZD via Stripe. Current prices are displayed on the pricing page. We will give at least 30 days' notice before any price increase takes effect. Notice will be sent by email and in-app notification.

Free Trial

Where we offer a free trial, it runs for the period stated at sign-up from the date of subscription. You will not be charged during the trial period. We will notify you by email before the trial ends. If you do not cancel before the trial ends, your paid subscription will begin automatically.

Cancellation

You may cancel your subscription at any time. Your access continues until the end of the current billing period. We do not offer refunds for unused portions of a billing period, except where required by the Consumer Guarantees Act 1993 (NZ), the Australian Consumer Law, or other applicable law.

If you are on an annual plan and cancel mid-year, your access continues until the end of the annual period. No partial refund is issued unless the service has materially failed to meet the guarantees described in Section 10.

Failed Payments

If a payment fails, we will notify you by email and allow a grace period of at least 5 days before suspending access to paid features. We will attempt to retry the payment during this period. Once payment is resolved, access is restored immediately.

Chargebacks

If you have a billing dispute, please contact us at [email protected] before initiating a chargeback with your card provider. We will make reasonable efforts to resolve disputes directly. Chargebacks initiated without first contacting us in good faith may result in account suspension.

5. Acceptable Use

You agree not to:

  • use GeckoPro for any unlawful purpose
  • attempt to access accounts, systems, or data that are not yours
  • scrape, copy, or redistribute GeckoPro data or signals at scale
  • reverse engineer, decompile, or tamper with GeckoPro's software or infrastructure
  • use automated tools to place excessive load on our systems
  • upload malicious files or attempt to compromise the security of the platform
  • resell or sublicense access to GeckoPro

6. Data and Privacy

Your use of GeckoPro is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully.

You retain ownership of the data you import into GeckoPro. By importing data, you grant GeckoPro a limited licence to process and store that data solely for the purpose of providing the service to you.

We do not sell your personal data to third parties.

7. Signals and Accuracy

GeckoPro's signals and alerts are generated automatically from market data provided by third-party data providers. GeckoPro does not control the accuracy, timeliness, or availability of third-party data and is not liable for failures or errors in that data.

Signals and alerts may be:

  • delayed due to data feed latency or market data provider issues
  • incorrect due to data errors, feed interruptions, or model limitations
  • incomplete for thinly traded or low-liquidity securities
  • unavailable during market closures, public holidays, or provider outages

GeckoPro makes no guarantee that signals are accurate, timely, complete, or suitable for any particular investment purpose. Past signal performance does not indicate future results.

GeckoPro alerts are informational only and are not a basis for investment decisions. You should always conduct your own research and seek independent financial advice before making any investment decision.

8. Service Availability

We aim to keep GeckoPro available at all times but do not guarantee uninterrupted access. Availability may be affected by events outside our reasonable control, including but not limited to: market data provider outages, cloud infrastructure failures, third-party service disruptions, network failures, or regulatory action ("force majeure events").

We may also:

  • perform scheduled or emergency maintenance
  • modify, suspend, or discontinue features with reasonable notice where practicable

We are not liable for losses or missed signals resulting from downtime, data provider failures, or other service interruptions, including those caused by force majeure events.

9. Intellectual Property

GeckoPro's software, design, signal algorithms, and content are owned by GeckoPro and protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any part of GeckoPro without our written permission.

You retain all rights to your own data (holdings, trade history, etc.) that you upload or import.

10. Limitation of Liability

Your statutory rights are preserved. If you are a consumer in New Zealand, the Consumer Guarantees Act 1993 (NZ) and the Fair Trading Act 1986 (NZ) apply and cannot be excluded. If you are a consumer in Australia, the Australian Consumer Law applies and cannot be excluded. Nothing in these Terms limits rights that cannot be excluded by law.

Subject to the above, and to the maximum extent permitted by law:

  • GeckoPro is provided on an "as available" basis without additional warranties beyond those required by law
  • we are not liable for any investment losses, missed opportunities, or financial decisions made using GeckoPro
  • we are not liable for losses caused by third-party data provider errors, delays, or outages
  • our total liability to you for any claim arising from these Terms or your use of GeckoPro is limited to the amount you paid us in the 12 months preceding the claim
  • we are not liable for indirect, consequential, incidental, or punitive damages

11. Indemnity

You agree to indemnify and hold GeckoPro harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising directly from your breach of these Terms or your wilful misuse of the service. This indemnity does not apply to the extent that any claim arises from GeckoPro's own negligence or breach of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. Changes that are purely administrative (such as correcting typos or updating contact details) do not require advance notice.

Material changes — including changes to pricing, liability, data handling, acceptable use, or your legal rights — will be notified at least 14 days before taking effect via email and in-app notification. We will not rely on website notice alone for material changes.

If you object to a material change, you may cancel your subscription before the effective date. Continued use of GeckoPro after the effective date means you accept the updated Terms.

13. Governing Law and Jurisdiction

GeckoPro is operated by GeckoPro (trading name; legal entity registration in progress, New Zealand). These Terms are governed by the laws of New Zealand. Any disputes will be subject to the non-exclusive jurisdiction of the New Zealand courts.

If you are an Australian resident, nothing in these Terms limits your rights under the Australian Consumer Law or any other applicable Australian legislation that cannot be contracted out of.

14. Dispute Resolution

If you have a complaint or dispute about GeckoPro, please contact us first at [email protected]. We will make reasonable efforts to resolve your complaint promptly and fairly.

If we cannot resolve your complaint directly:

  • New Zealand residents may refer disputes involving amounts up to NZD 30,000 to the Disputes Tribunal (disputes.govt.nz)
  • Australian residents may contact the Australian Financial Complaints Authority (AFCA) for eligible disputes, or the relevant state consumer protection agency

Nothing in this section prevents either party from seeking urgent injunctive or other interim relief from a court where appropriate.

15. General

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GeckoPro regarding your use of the service and supersede any prior agreements or representations.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights in connection with a sale or restructure of the business, provided your rights under these Terms are not materially affected.
